Music City Work Club Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Music City Work Club (“MCWC,” “we,” “us,” or “our”) website (musiccityworkclub.com), membership services, coworking space, wellness amenities, production studio, events, masterminds, and any related offerings (collectively, the “Services”). By signing up for a membership, booking any service, accessing the premises, or using the Site, you (“Member,” “you,” or “your”) agree to these Terms. If you do not agree, do not use the Services.
We are a private members' club for growth-minded entrepreneurs and creators in Nashville, Tennessee. Membership is by application/approval and subject to availability. These Terms form a binding agreement between you and MCWC.
1. Membership and Eligibility
Membership is personal and non-transferable. You may not share your access, keys, codes, or benefits with non-members.
You must be at least 18 years old and provide accurate information during signup.
We reserve the right to approve, deny, or terminate any membership at our sole discretion.
Membership tiers (Foundation/Basic, Creator/Transform/Plus, Platinum/Visionary/Scale/Premier) are described on our Site and in our Plans & Pricing. Features, availability, and pricing may change with notice.
Higher tiers include enhanced benefits (e.g., unlimited wellness sessions, masterminds, curated introductions, content production hours, event hosting credits, Costa Rica retreat credit). Some benefits are subject to availability, booking rules, and additional terms (e.g., no-show fees for bookings).
2. Payments and Billing
Fees are as listed in our Plans & Pricing (e.g., $200/month Foundation, $500/month Creator, $1,500/month Premier; annual discounts apply where offered).
Monthly memberships auto-renew unless canceled. Annual commitments require full payment upfront and are non-refundable except as stated.
Payments are processed via our designated provider. You authorize recurring charges to your provided payment method.
Late payments may incur fees, suspension, or termination. We may deduct from referral dividends or future payments for any outstanding amounts, refunds, or delinquencies.
Taxes are your responsibility. All fees are in USD and non-refundable unless otherwise specified.
Referral dividends (20% of referred fees; capped at $200/month for Foundation, uncapped for higher tiers) are paid as described in Plans & Pricing and are taxable income to you.
3. Access and Use of the Space and Amenities
Access is 24/7 for eligible tiers (subject to any restrictions); lower tiers may have limits.
Use is for business/professional purposes aligned with our community values (growth, wellness, creation). No personal/residential use as primary purpose.
Amenities (e.g., BioCharger, vibroacoustic therapy, meditation room, breathwork, production studio, meeting rooms/phone booths, coffee/tea) are provided as-is, subject to availability, booking via app, and rules (e.g., 2-hour daily meeting room limit for Foundation; no-show charges; quarterly content hours with branding/light rules).
Production studio: Personal content only; multi-person/interviews extra; lightly branded unless fee paid; raw files delivered; we are not responsible for content quality or tech issues beyond reasonable efforts.
Internet: High-speed access provided; no illegal downloads, crypto mining, unlawful sites, or server-heavy use.
Guests: Limited passes (e.g., 10/month Foundation); must register; you are fully responsible for guests' conduct and any damage/loss.
Events/masterminds: Subject to availability; no guaranteed makeup for missed sessions; Premier includes event hosting credits (venue only; you cover extras like staff/food/security).
4. Member Conduct and House Rules
You agree to:
Respect the community: No harassment, discrimination, threats, or disruptive behavior.
Maintain cleanliness: Leave spaces as found; no food waste in common areas.
Follow booking rules: Cancel unused bookings; no monopolizing shared resources.
Comply with laws: No illegal activities, weapons, or substances prohibited by law.
No solicitation without permission; respect others' privacy/work.
Report issues promptly.
We may suspend or terminate membership for violations, with or without notice.
5. Liability and Disclaimers
Services and premises provided “as is.” We disclaim all warranties, express or implied.
We are not liable for any loss, damage, injury, or interruption (e.g., outages, theft, personal property damage, wellness session results, content issues).
You assume all risk when using amenities (wellness, studio, events). Consult professionals for health advice.
Limitation of Liability: To the fullest extent permitted by law, our total liability shall not exceed the fees paid by you in the prior 12 months.
Indemnification: You agree to indemnify us against claims arising from your use, guests, or violations.
6. Termination and Cancellation
You may cancel per your tier (e.g., monthly with notice; annual non-refundable).
We may terminate immediately for cause (violations, non-payment) or with notice for any reason.
Upon termination: Access revoked; no refunds for prepaid periods unless required by law; outstanding fees due.
7. Intellectual Property and Content
Our branding, content, and materials are ours. Limited license for your personal use.
You grant us non-exclusive rights to use your name/logo/profile in member directory, marketing (e.g., testimonials, directory visibility for higher tiers).
Production content: We own setup assistance; you own your final content (subject to branding rules).
8. Changes to Terms
We may update these Terms. Continued use after changes constitutes acceptance. We will notify via email/Site for material changes.
9. Governing Law and Disputes
These Terms are governed by Tennessee law. Disputes resolved in Nashville courts. No class actions.
10. Miscellaneous
Entire agreement; severable.
No waiver of rights.
Force majeure: Not liable for events beyond control (e.g., natural disasters, outages).
